MPA Financial Services Private Limited ("MPA", "we", "us", or "our"), a company incorporated under the laws of India, having its registered/corporate office at "Sai Tower", 32, Harish Mukherjee Road, Kolkata – 700025, West Bengal, India, and branch offices at Mumbai and Chennai, is a SEBI-registered Category I Merchant Banker offering Corporate Advisory, Project Advisory, Private Equity, Valuation, Debt Syndication, Financial Restructuring, Mergers & Acquisitions, Overseas Funding and related merchant banking and financial advisory services (collectively, the "Services").

This Privacy Policy ("Policy") explains how we collect, use, disclose, store, and protect personal information of visitors to and users of our website www.mpa.in (the "Website"), including persons who submit enquiries, request a call-back, apply for services, or otherwise interact with us through the Website (collectively "you" or "User").

This Policy is published in accordance with, and forms an electronic record under, the Information Technology Act, 2000 and the rules made thereunder, including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 ("SPDI Rules"), and is drafted having regard to the Digital Personal Data Protection Act, 2023 ("DPDP Act") and rules issued or to be issued thereunder, as applicable to MPA as a "Data Fiduciary". By accessing or using the Website, you agree to the collection, use, and disclosure of your information as described in this Policy. If you do not agree with this Policy, please do not use the Website or submit your information to us.

2. Scope of this Policy:

This Policy applies to personal information collected by MPA through the Website, including the online enquiry/contact forms, email communications initiated through the Website, and any cookies or similar tracking technologies deployed on the Website. It does not apply to information collected offline, through client engagement/mandate documentation, KYC processes undertaken pursuant to SEBI regulations, or through third-party websites that may be linked from the Website, which are governed by their own privacy policies.

3.1 Information You Provide to Us

When you use the "Enquire Now"/Contact Us forms or otherwise correspond with us through the Website, we may collect:

  • Identity and contact details: first name, last name, phone number, mobile number, email address, city;
  • Professional/organisational details: name of organisation, industry, designation, company website;
  • Enquiry details: nature of requirement (e.g., Debt Syndication, Valuation, TEV, Project Finance, AIF, Private Equity, Pre-IPO, Merchant Banking, DPR Report, NPA, Insolvency, Resolution, Restructuring, Stress Funding, or other services), fund amount required, and any message, attachments, or supporting information you choose to share;
  • Any other information you voluntarily provide in correspondence with us, including by email or telephone following a Website enquiry.

You are not obligated to provide any information; however, certain information (such as name, contact details, and nature of requirement) is necessary for us to respond to your enquiry or provide the Services.

When you visit the Website, we and our service providers may automatically collect certain technical information through cookies, web beacons, log files, and similar technologies, including:

We do not intend to collect "sensitive personal data or information" (as defined under the SPDI Rules) such as financial account details, passwords, or biometric information through the Website. Please do not include such information in the enquiry form or any Website correspondence. Any financial, KYC, or transaction-related information required to provide the Services will be collected separately, pursuant to a signed engagement/mandate and applicable SEBI/AML requirements, and will be governed by the terms of such engagement.

4. How We Use Your Information:

We use the information collected through the Website for the following purposes:

  • To respond to your enquiries and requests for a call-back or proposal;
  • To assess and process requirements for our Services (e.g., debt syndication, equity funding, project/corporate advisory, valuation, M&A, insolvency and restructuring advisory);
  • To communicate with you, including by phone, email, or WhatsApp, regarding your enquiry, our Services, or matters you have raised;
  • To carry out internal record-keeping, business development, and relationship management;
  • To send you newsletters, updates, or marketing communications about our Services, where you have consented or where otherwise permitted by law (with an option to opt out at any time);

We process your personal data on one or more of the following bases, consistent with the DPDP Act:

  • Your consent, given at the time of submitting the enquiry form or otherwise voluntarily providing information to us, which you may withdraw at any time as described in Clause 9;
  • Where processing is necessary to respond to a request made by you before initiating an engagement (i.e., for taking steps at your request prior to entering into a mandate);
  • Compliance with a legal obligation to which MPA is subject, including under SEBI regulations and other applicable law;
  • "Legitimate uses" permitted under the DPDP Act, such as responding to a voluntarily-shared enquiry for a specified purpose.
6. Disclosure of Information:

We do not sell or rent your personal information. We may share your information with the following categories of recipients, only as reasonably necessary for the purposes set out in this Policy:

  • Internal personnel: our directors, partners, and employees across our Kolkata, Mumbai, and Chennai offices, on a need-to-know basis, for evaluating and responding to your enquiry;
  • Professional advisors and service providers: auditors, legal counsel, IT/website hosting and email service providers, CRM and analytics providers, who process information on our behalf and under confidentiality obligations;
  • Co-arrangers, lenders, investors, or counterparties: where relevant and with your knowledge, for the purpose of syndication, fund-raising, or advisory mandates you have engaged us for;
  • Regulators and authorities: SEBI, RBI, stock exchanges, courts, tribunals, law enforcement, or other government/regulatory authorities, where required under applicable law, regulation, legal process, or a valid governmental request;
  • Business transfer: a successor entity in connection with a merger, acquisition, restructuring, or sale of all or part of MPA's business, subject to confidentiality safeguards.

We require third parties to whom we disclose personal information to maintain adequate confidentiality and security safeguards, consistent with this Policy and applicable law.

7. Cross-Border Transfer of Information:

Your information is primarily stored and processed in India. Where any Website hosting, email, or analytics service provider stores or processes data outside India, we will take reasonable steps to ensure such transfer is carried out in a manner consistent with the DPDP Act and other applicable law, including through the use of service providers with appropriate contractual and security safeguards.

8. Cookies and Tracking Technologies:

The Website may use cookies, web beacons, and similar technologies to operate the Website, remember your preferences, and understand how visitors use the Website (e.g., through tools such as Google Analytics). Cookies are small text files stored on your device. The Website does not respond to "Do Not Track" browser signals at this time.

Subject to applicable law (including the DPDP Act, once its rules are notified and brought into force, and in the interim the SPDI Rules), you may have the following rights in relation to your personal information:

  • Right to access a summary of the personal information we hold about you and the processing activities undertaken;
  • Right to correction, completion, and updating of inaccurate or outdated personal information;
  • Right to erasure of personal information that is no longer necessary for the purpose for which it was collected, subject to our legal and regulatory record-keeping obligations;
  • Right to withdraw consent at any time for processing based on consent (such as marketing communications), without affecting the lawfulness of processing carried out before such withdrawal;
  • Right to grievance redressal, by writing to our Grievance Officer/Data Protection contact named in Clause 13;
  • Right to nominate another individual to exercise these rights in the event of your death or incapacity, in accordance with the DPDP Act.

To exercise any of these rights, please write to us at the contact details in Clause 13. We may need to verify your identity before acting on your request and may take reasonable time, in line with applicable law, to respond.

10. Data Retention:

We retain personal information collected through the Website for as long as is reasonably necessary to fulfil the purposes described in this Policy, to respond to your enquiry, to comply with our legal, regulatory, tax, and SEBI record-keeping obligations, and to establish, exercise, or defend legal claims. Where an enquiry does not result in an engagement, enquiry-form data will generally be retained for a limited period (e.g., up to 24 months) for follow-up and record purposes, unless a longer period is required by law, after which it will be securely deleted or anonymised.

11. Data Security:

We implement reasonable security practices and procedures, including administrative, technical, and physical safeguards, that are commensurate with the sensitivity of the information collected, in line with the SPDI Rules and the DPDP Act, to protect personal information against unauthorised access, alteration, disclosure, or destruction. This includes restricting access to information on a need-to-know basis and using secure channels for data transmission where reasonably practicable. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

12. Children's Privacy:

The Website and Services are intended for use by businesses, professionals, and adults seeking financial/merchant banking advisory services. We do not knowingly collect personal information from individuals under 18 years of age. If we become aware that we have inadvertently collected personal information from a minor without appropriate consent, we will take steps to delete such information.
